How do I set an NDA?

In DealRoom, you can require members to sign a Non-Disclosure Agreement (NDA) before accessing a room, either at their first login or every time they log in. This article explains how to enable the NDA and make edits as needed.


Enabling the NDA Requirement


To activate the NDA requirement for your room:

  1. Open the room and click the Settings tab in the top menu.
  2. In the left-hand menu, select Non-Disclosure Agreement.
  3. Toggle Enable Non-Disclosure Agreement to the “on” position. This will require new members to sign the NDA.
  4. Choose when the NDA should appear for new members:
  • Every login**: The NDA is presented each time the user logs in.
  • First login**: The NDA is presented only on the user’s initial login.


How to Edit the NDA Terms


You can easily customize the agreement text to suit your legal requirements:

  1. In this page you can also locate the Edit Terms section.
  2. The text editor displays the current NDA text, which you can customize by typing directly into the field.
  3. Once you have edited the terms, ensure you save your changes using the appropriate save button to be found at the bottom of the editor.


Note on NDAs:
  1. Only Admins have the ability to set and edit the text of the NDA.
  2. There are no redline abilities for other parties; they must accept the terms as written.
  3. When NDAs are accepted, the action is recorded in the Audit log, which admins can access for compliance tracking.
